Dispute Resolution & Binding Arbitration
Please read this section carefully — it affects how disputes are resolved and limits your rights. Except for the small-claims and injunctive-relief carve-outs below, any dispute, claim, or controversy arising out of or relating to these terms or this website shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or its Consumer Arbitration Rules, if the dispute qualifies as a consumer dispute), rather than in court. The arbitration shall be seated in Dawson County, Georgia, and judgment on the award may be entered in any court of competent jurisdiction.
Class-action and jury-trial waiver. You and Samford Labs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and Samford Labs each waive any right to a jury trial.
Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
30-day opt-out. You may opt out of this arbitration agreement by emailing james@samfordlabs.com within 30 days of first accepting these terms, stating your name and intent to opt out. Opting out does not affect any other provision of these terms.
Governing Law & Jurisdiction
These terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration as described above, it shall be subject to the exclusive jurisdiction of the state and federal courts located in Dawson County, Georgia. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
Severability
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement
These terms, together with our privacy policy, constitute the entire agreement between you and Samford Labs regarding your use of this website. These terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein. These terms do not govern any separate service engagement, consulting agreement, or software license between you and Samford Labs.
